You need to form a business entity first before NDA. It usually starts like this:

THIS NONDISCLOSURE AGREEMENT (this ?Agreement?) is between Company, Inc. or one of its subsidiaries (together with its affiliates and subsidiaries, ?CoI?) and the person or entity designated below (?You?).

PM me if you are serious, you need to consider, but not limit to, the following:

Pain - what are you addressing, why you and not some competitors
Competition - who are they
market - who are your customers
economics - who's buying? are there enough of them? how do you planning on making profit? how do you get your initial investment? VC? Angels? Bootstrap?

I'm sure a knowledgeable lawyer could whip something up to work around this. In other words there must be other NDA's between non business entities.

I have an idea: MMPORPGs that don't suck.

Specifically, games that don't suck up all your time in order for you advance in levels...and games that don't tie you down to a specific computer. I'm thinking of some sort of technology platform that would allow you to perform basic tasks (i.e. spell research, team/clan/guild interaction etc.) offline or on a PDA, mobile phone or public computer. These are tasks that wouldn't require a complex, 3d rendered world, and thus wouldn't require you to install 600mb worth of software just to 'play'. You could connect to the game universe using Java, J2ME, BREW, WAP 2.0 etc. Or, you can download 'mini-quests' that sync to your PDA or what not and allow you to complete these offline...say while riding the subway or waiting in line for lunch.

Good luck, no offense, but this will never get off the ground. Are you guys going to trust seed money to people you've never met? I wouldn't. This is a ripe opportunity for someone to come in and scam all of you.

Agreed, but it is also a great opportunity to change the world and make some money as well.. We would definetly need to talk about how to keep it secure.

Heh, a bunch of I'm in's but no lawyers offering free services yet.... don't think that's gonna happen. It'll cost about at least a few hundread to incorporate and get all papers in order (probably). Then how do you:


Determine who gets what percentage of what? Probably by shareholders.... but...

Who contributes how much to get started?

And who's going to give ideas out at random.

Anyway, I'm in... been there / done that with some local friends but didn't work out.

I'll probably wait for the NDA to get going before I say much, but I have some ideas that can't be done without a good base of people kicking around.

its less than $100 bucks in Connecticut to incorporate and you can download the form online off the ct government website. Which I have at hand if necessary.

I think the idea is to get a lawyer from here that will be willing to give there time in excahnge for company shares or something. The idea being make this as cheap as possible to initiate.
