I don't believe that you can upgrade to Small Business Server from NT 4. You will probably want to look into that first. Also, you will probably have some incompatibilities with your scripts and mail program.
I've had really good luck with HP and Dell servers. Each manufacturer has their own quirks. There are 2 HP servers that would probably fit you best. The E800 is good, and the LC2000 will allow you to run hot-swap drives.
There's no point in doing load balancing. Your DSL only uses a fraction of your current cards bandwidth. You could use a 10MB card and have the same performance as a 10/100 card.
