Well I for sjure wouldn't be to happy to have 2 different OS's sharing the same Program Files directory. Just comparing the two dirs (esp. microsoft shared/system e.g.) and I'm not happy :)

If you don't have another partition which you can free up it will be tough installing w2k without destroying anything. Maybe adding another hd just for w2k is an option.
You could use partition magic or something alike to resize your win98 partition and make some room for a new w2k partition.
Try moving the locked file to another directory (at the cmd prompt type: move <filenaam> <dir> ) and then copying the new file. After a reboot you can delete the old file.
SendTrash: just copying those file to a floppy that's formatted by W2k/NT won't work. The bootblock from the floppy still searches for the ntldr.
