A motherboard upgrade, even if you reuse storage, video, memory, and a case, is considered a new PC. In that case, if the underlying Windows license is from a retail copy, that license can be transferred.

I have a retail 7 home licence upgraded to an 8 home licence (the cheap deal when 8 first appeared), upgraded free to 8 Pro due to loss of Windows Media Centre in 8, and now upgraded free to 10 Pro. It feels like I'm doing well out of my small investment in 7, but really not sure what will happen when I next try a motherboard swap.
