A little bird told me to avoid sticks without heatsinks on them. Confirm/deny?

so you wouldn't eat an apple that wasn't coated in candy? Heatspreaders look nice, but the RAM is the substance. If you don't have a window in your case, or even if you do and you don't look through it, you'll never notice the difference.

The processor is $197.54 from Newegg including tax (90210) with promo code EMCZNZV73.

Your PSU should be fine. A GTX 570 in a power hungry overclocked x58 rig uses 361W in Crysis.

I wouldn't run the power virus Furmark, though. Under that the overclocked i7 920/GTX 570 pulls 446W, which should translate to ~416W in a stock Lynnfield. Depending on how much your PSU's rated wattage is available on the 12V rail, that could be pushing it.
But there's no reason for you to be doing that to your poor video card.
