When my friend setup her computer, it was not connected to the internet, so as I do not think activation is necessary, not to mention, we did not have to call Microsoft for the activation code.... so I believe it is a similar concept to a 'corporate' copy of Windows, in that there is an installation serial number, but no activation.
Dell versions of any operating system will not work on non-Dell systems, or atleast the bootup and install from CD will not work. The boot sector of the CD looks for something in the BIOS of the computer it is installing to to find something with Dell... If you ever boot up a Dell, it goes to the Dell splash screen, and I'm guessing that is what the cd looks for.
I can understand that this way Dell keeps costs down, but I'd rather pay a little more and have clear communication and resolution of problems. Remember, unlike us, most people and businesses are paying full price for Dell's overpriced computers.
