The deal also gives AMD a minimum of $293M in cash as long as AMD meets their IP delivery dates. AMD’s Q1 earnings results include $52 million net cash received from the IP licensing agreement and will be another $25M in Q2. According to AMD, as soon as JV parts start shipping, it would also involve royalties on top of the licensing dollars on a per-shipment basis. Cash is good for AMD at this point, but leaving the analysis there isn’t doing this justice.

Years back, Advanced Micro Devices disclosed that it would attempt to monetize its IP in areas that aren’t being monetized, which AMD called “key areas”. And AMD has good IP. There are only two “big” GPU producers and AMD is one of them. I could also argue there are four, maybe five people with the expertise to do “big” CPU cores, and AMD is one of them. This deal is at least one victory lap on monetizing its IP. I expect more to come in the future, especially with GPUs.

I like this deal for AMD for many reasons:

  • Delivers on the promise of expanded IP monetization
  • Increases AMD’s cash balance
  • Has a royalty back-end after the license fees run out
  • Extends AMD’s reach with technology that for the most part, has already been created. AMD won’t have to spend 100s and millions of dollars to deliver on this.
  • Doesn’t block AMD from having their own branded X86-based processor in China
In terms of uniqueness, from publicly-based information, this is the only X86-based server SoC put together with a Chinese company. Intel cut a deal in January in China for an MCP (multi-chip package) which could become an SoC, but for now, it’s an MCP. The end result is a custom Chinese solution for both, but an SoC just has further levels of integration.

It's just 2x 32core Epyc 7551. There might be some schanigans since it has that weird name, but look: "Socket SP3 (4094)". So it is still AMD-made "Naples" Epyc 7000. In Sugon's 2S server/motherboard.

So, it is EPYC 7551 now, but it won't always be Zen-based Dhyana being the huge role.

Hygon is to Zhaoxin as AMD is to VIA. With that there be a municipality competition going down ya hear! Shanghai vs Chengdu bwoop bwoop!

It would be up to them to agree. The NSA can put pressure on a company to agree and my guess is that the NSA basically told Intel that they would be a sole supplier to them if they agreed to soften the blow, but China is a trade partner with the US no matter how terrible of one. There are no sanctions or blackades against selling anything short of an F22 to China. So there is little the NSA can do to block system sales and little the NSA can do for AMD to incentivise not participating in one of the biggest emerging markets for tech in the world.

So will this cpu still manufactured in GF ? Or in China's own foundry's ?

All this is is how you have to do business in China. This is AMD building chips in China, but with a Chinese name to make them feel better. Designing and building high performance chips is very high on China's national priority list. It's the one thing that the US has total leverage over China on. These agreements are how China gets their hands on IP.

Yes, it is Higon's priority to tapeout at China Foundries.
China\India Foundries => (AMD (ATMP) JV) TongFu Microelectronics Co., Ltd Packaging => Asia/Pacific regional EPYC/RYZEN etc.

Surprised how much they crippled it. Not that that's a bad thing IMO.
So Amd Crippled the design? Or was that due to those CPUs being "made in china"? Can the Chinese get around these restrictions and build a fully functional Zen core? I mean the Russian made a deal with them, they were going to sell them like 500 Sukhoi fighters, China was to build the first 50 air planes with Russian kits, but China cancelled the deal after building the first kits and copying their tech, so now China now build their own counterfeit J-15/1-16 fighters, can they do that with Zen?

This is unclear. Maybe -- but there would be a lot of work involved. It also depends on if they had the full RTL or not. Plus they would likely have to port it to a different process as they can't work with Global Foundries anymore.

If anyone can reverse engineer the Zen 1 core with IP and OTC Ryzen CPUs those are the Chinese
