The OD one is $270 after coupon, not $300.
Basically, you are paying $70 extra for a 64mb memory card, and an extra megapixel. Take off $30 (the value of the memory) and you are paying an extra $40 for 3 megapixels vs. 2 megapixels. I'd say the extra $40, and consequently, the extra $70, is worth is for a 3MP camera. I'd be very happy with the A40, but since I already have a 2MP camrea I'm upgrading from, getting the A40 wouldn't be that big of an upgrade (however it would be an upgrade in image quality over my Kodak), and I'd probably want a 3MP down the line anyway, just making me upgrade AGAIN. But 3MP on the other hand, is quite a nice upgrade and some reports are that once you get to 3MP, it's hard to tell the difference in quality if you go higher(i.e. 4MP, 5MP), especially for 8x10 prints and smaller.
If you are just going to be using pics for the web, the A40 will be MORE THAN adequate. If you are going to print out 8x10s and you just want better overall image quality for all your pics, go with the Olympus.
