I am getting the BSoD when trying to install Win XP Pro to a new machince I put together.

athlon 64 NewCastle 3200 +
Asus K8v Se Dlx
2x512MB OCZ
200 GB Seagate UATA
Rad x800 pro
SB Aud 2 ZS Plat
Lite-on CD-rw

When installing win XP Pro I get messages that it cannot read a file or the file isnt on the disc or something. Could it be that the disc is just too old and damaged? It is a legit copy of Pro upgrade. If it is the disc will MS replace it?
 
If it is the disk the MS will replace it for you. I'm willing to bet it's a RAM issue though. Most of the time the RAM is to blame for BSODs on install.
