XP Upgrade

For those of you who have bought the Windows XP Upgrade, do you have to install it over Windows 98 SE, or can you do a fresh install of XP using the XP Upgrade by simply producing a valid copy of Windows 98 SE?

Boot from cd, it will ask for you to insert a 98, etc cd and then it will let you install xp.
