You should try and monitor your temperatures, using ntune or rivatuner. Rivatuner might be easier to log your temperatures btw. You're card, depending on ambient temperatures shouldn't go above 80-85celsius.

What drivers did you install btw? And are you running the 32x or 64x version of ultimate? Btw, it being ultimate, business or whatever doesn't matter, all that matters is it being Vista, and how many bits it is. The fact that it works at first and then crashes doesn't really sound like a driver issue to me though. More like heat.

Put your system back to stock speeds and see if your problem remains. If it does, we can continue to troubleshoot other things. But first and foremost, when running PC components out of spec, that is the first thing to consider. "Is my overclocks causing instability in certain things?"

UPDATE: oops, I see you did this already and your problem is gone. Now ask yourself, "Do I really need to O/C my already VERY fast PC?".

I have a E6420 and a 8800GTS 640 and have not ever had reason to o/c anything.
The o/c on your 6700 was a mild one, so I don't think it's your CPU giving you grief. Most likely the memory timings (which I am NO expert at).

well cause i paid more to buy a pc2-6400 ram so i wanted to run it at 6400 n i had to overclock my ram to 6400 as by default it was comin as pc2-5300, while doin that i thought why not a mild overclockin of my processor so i jus increased it from 266 to 300, it ran all stable it booted but when ever playin a game my display driver stops workin so i jus downclocked it back to the stock but not the ram, now its all fine still i wan to find out the connection of display driver with the over clockin of the processer :S
