Xeon E5440 Cooling

First, my english is very bad for this sorry friends 🙂

Hi guys , i'm planning will buy Xeon E5440 after my semi-year holiday. I have ( http://www.pccooler.cn/en/index.php/products/pc/cpu/164-s90d-黄海增强版.html ) this cpu cooler. And if i buy Xeon E5440 i will buy any one G31-P31-P35 chipset motherboard.

Now my questions;

1- My CPU cooler enough for overclock E5440?(2.83 to 3.10 or 3.20)
2- This chipsets has fit for E5440?

I can understand friend and i have Gigabyte MA785GM Rev1.0 MSI R7 250 2GD3 OC and 4 GB RAM, i ordered Phenom ii x2 570 i'm planning, overclock this cpu more multiplier 4.0 or 4.2 GHZ is it bottleneck on R7 250?

Just get a mobo with decent VRMs and northbridge cooling and you should be fine.
