X2 4400, will I be ok with stock fan

Ok most likely I am going to be getting an X2 4400 and DFI Ultra-A mobo. I do not plan on OC'ing off the bat.... down the road perhaps.

1st question, how bad off do you think I will be with the retail fan+heatsink

2nd, how hard is it to install a different one if I want better? ( got my eye on the artic 64 ).

If thats the retail heat pipe HS from AMD, the 4 piper, it will do very well indeed.
No need to up grade. There is a stickied review of it at the top of this page. Read it.

The AC Freezer 64Pro is a snap to install but would probably be a lateral move.
That is you would not gain or lose any cooling. The 64 might be a tad quieter.

The stock is fine, specially since it's the heatpipe version. The reasons why people change HSF is cooling and less noise. Personally the noise would be the major choice to change HSF.

Ahhh sweet! I didnt realize they all came with this new heatsink.
