wuauclt.exe - do i have a virus?

I have NAV2005 installed and ZAPro 5 on XP Pro.
I had some hassles with a webform responce thingy on a website last night and thought it was due to jazascrupt blocking by either of these fso temporarily disabled them [for <1min at a time].

This morning i find that when windows starts up the "enable autoprotect at startup" for NAV remains unchecked abd despite my checking it and it then running fine it becomes unchecked again at bootup.

wuauclt is new to me in the processes list and i obviously dont have WinME so there isnt any reason for it to be here is there? it is in the win system32 folder not in a "strange place".
I have all the updates installed from winupdate but not SP2 yet.

is it a virus, or kosher?

i used the sledgehammer "system restore" to a couple of days ago and NAV now autoloads but the wuauclt.exe is still there
 
It manages automatic updates for windows. If you're curious about processes just google them and usually you'll get a description come up as one of the first options.
 
i did google it and it told me it was a WinME autoupdates manager.
i have auto-updates disabled, run WinXP Pro and never saw this before yesterday hence the concern
