Would i really see much of a difference if i oc my CPU?

Right now i have a a64 3000+ newcastle 754 and a 6800gt...

right now i got my cpu oc'd about 100mhz. I only really oc my vid card which is now at ultra speeds.

Would i really see much of a difference in performance if i oc'd my cpu to lets say 2.4ghz or higher?

probobly. i did with my 3500 going from 2.2 to 2.7

It depends on what you use your computer for. And how anal you are about FPS

i didn't see a difference clocking 2.0 to 2.6 because i never have more than 50% usage... what a waste eh?

Silence and good overclocability? You can't have both. You could have a good balance though.

With a Panaflo 92mm fan will give you a good balance and will handle a high overclock. Otherwise the Arctic Cooling Silencer 64 Ultra is good for mild OCing. It is extremely quiet too.

Maybe. I noticed a pretty good difference overclocking my socket 939 3000+ to 2,464 MHz, but the socket 939 3000+ defaults to 1.8 GHz instead of 2.0 GHz like the 754 model, so it was more of an increase for me. Also, since you're already running at 2.1 GHz, you probably won't see a huge difference by going to 2.4 GHz.

Also note that a lot of the early socket 754 boards lack AGP/PCI locks, and setting the bus speed too high can cause serious problems (for example, you can get HDD corruption on the MSI K8T Neo if you set the FSB above about 220 MHz), so be sure to make sure you can lock your AGP and PCI buses in the BIOS before trying to overclock it that high.
