I have a GeForce 256 (not sure DDR or SDR) and I was wondering whether or not I would get any NOTICABLE improvements in games such as Counter-Strike, and Unreal Tournament. I have never overclocked anything, so if anyone has any newby tips, they would also be appreciated.

Depends on what you call noticeable 🙂 . Seriously, overclocking the memory on your card will help you more than overclocking the core (actual GeForce chip itself). You didn't say what processor you are running so I can't comment on how much overclocking the CPU would get you. I have seen increases of 5-15fps (depending on resolution) by overclocking the RAM on GeForce 256 cards.

It depends whether or not your cpu can keep up.
Perhaps if you told us what cpu/speed you have that would help
 
Overclocking the GPU will not really help that much unless the game is a high poly, low texture game. Textures normally smash the memory bandwidth on the GeForce cards. Faster memory would help muchly (5%).
