LOS ANGELES ? The Walt Disney Co. says it is acquiring Marvel Entertainment Inc. for $4 billion in cash and stock, bringing characters like Iron Man and Spider-Man into the Disney family.

Under the deal, Disney will acquire ownership of 5,000 Marvel characters.

Disney said Monday that Marvel shareholders will receive $30 per share in cash plus 0.745 Disney shares for every Marvel share they own.

It said the boards of Disney and Marvel have both approved the transaction, but it requires an antitrust review and the approval of Marvel shareholders.

Makes you wonder what this is going to do to Disney's main themepark competitor, Universal. They've got a lot of Marvel based rides.

CHICAGO (MarketWatch) -- Walt Disney Co. said on Monday it has reached a deal to acquire comic book titan Marvel Entertainment Inc. for $4 billion in stock and cash, in a move that underscores the company's desire to have strong box-office franchises with appeal to families.

Marvel shares jumped 27% in early trading, to $48.88. Disney shares were down 1.3% at $26.49.

In a statement, Disney /quotes/comstock/13*!dis/quotes/nls/dis (DIS 26.37, -0.47, -1.75%) Chief Executive Bob Iger said "adding Marvel to Disney's unique portfolio of brands provides significant opportunities for long-term growth and value creation."

Marvel /quotes/comstock/13*!mvl/quotes/nls/mvl (MVL 48.85, +10.20, +26.39%) shareholders would receive a total of $30 per share in cash plus approximately 0.745 Disney shares for each Marvel share they own.

At closing, the amount of cash and stock will be adjusted if necessary so that the total value of the Disney stock issued as merger consideration based on its trading value at that time is not less than 40% of the total merger consideration.

Based on the closing price of Disney stock on Friday, August 28, the transaction value is $50 per Marvel share or approximately $4 billion.

Ike Perlmutter, Marvel's CEO, would continue to oversee the Marvel properties, and work directly with Disney executives to integrate them into Disney's businesses.

Under the deal, Disney will acquire ownership of Marvel including its more than 5,000 Marvel characters, including The Fantastic Four, Spider-Man, the X-Men, The Incredible Hulk and Iron Man, all of which have been turned into highly valuable feature film franchises.

The three "Spider-Man" films, released in 2002, 2004 and 2007, have generated $2.5 billion in worldwide box-office receipts. Four "X-Men" movies have grabbed about $1.6 billion in global box office.

In late July, following Disney's latest earnings report, Iger pointed to the value of making movies that can easily be watched several times, during an era when DVD rentals are rising in popularity while DVD sales are in decline.

"If you want to watch a Pixar film, or you want your kids to watch it 50 times ... then owning it becomes a lot more convenient and more valuable than renting it," Iger told analysts during a conference call. " ... The notion that there's a market for everything isn't necessarily the case anymore. "It has to be good, and the price-to-value relationship has to be really high."

Disney acquired Pixar Animation Studios in 2006.

Funny, that was one of the first things I thought about when I read this news this morning. Not sure if Universal and Marvel have a contract, but I'm sure they'll come to an agreement to end it sometimes. Either way, that's not good news for Universal.

As far as Disney acquiring Marvel, as comic book geek I don't know what to think. I like Disney cartoons, but I hope they don't change the comics in the long run to aim for younger kids and make them "cleaner". From a business and entertainment point of view it makes sense. I think Disney benefits from owning Marvel more than Warner Brother benefits from owning DC.

My question is how will this affect Anandtechers comic book investments?

I bet Universal has an agreement which will continue through the Marvel sale, so universal won't have to close the rides, although they won't get any new Marvel based ones in the future.

I doubt they'll make any changes other than ones necessary to make a profit. Don't forget that Disney also owns Miramax and Dimension film studios which are full of kid friendly fare such as No Country for Old Men, There Will Be Blood, Clerks 2, Scary Movie, Kill Bill, etc.

I just hope this doesn't do anything to screw up the upcoming Iron Man, Spiderman, Thor, Captain America, and Avengers movies.

UPDATE #2: John Lasseter met with Marvel last week about a possible team-up between Marvel and Pixar and got "pretty excited, pretty fast." They say there's definitely an opportunity there.

Oh hell yeah. If they could improve Marvel's direct to DVD titles, I'm all for that. They've ranged from ok (Ultimate Avengers) to meh (Iron Man) to atrocious (Dr. Strange).

The only thing I need to know: does Sony continue to hold the film rights for Spiderman, and... more importantly, does Paramount and Marvel Studios still get to finish up their Avengers films? If that gets axed, I'm pissed. So much work has been done trying to incorporate the Avengers flavor across the current group of character films, and I cannot wait to see the remaining character films and then cap it all off with an Avengers movie.
Still get to see Captain America and Thor get proper big-screen treatment. Wondering if we're going to see Ant-Man or somebody else to fill in the fifth character.

I'm not sure what Disney is thinking. Marvel has never been a good acquisition and it's happened several times now.

Universal could make the whole park a Nickelodeon theme park and kids would love it.

As a Marvel investor I can tell you most of us are NOT happy.
The stock was poised to hit 50 on its own as Iron Man 2 came closer to release.
If the upcoming trio of films do even moderately well then Disney bought Marvel for a song.
This is all Ike Perlmutters manoevering. He gets a big payday today, and gets to run the company for awhile longer.
To get a company like Marvel with such a huge upside and a huge stock of marketable assets for barely 25 percent over its current share value was a Disney steal.
Iron Man, Thor and Captian America could easily make over a billion dollars in PROFIT on the movies alone. Not to mention the toys, tv spinoffs, etc.
