No functional differences. Not sure if you have to activate OEM. Main difference is that you can only buy OEM with hardware, and it's cheaper. OEM is what you want, since you're building a computer.

You have to activate Oem the same way you activate retail. Retail comes in a pretty little box and manuals and whatnot. OEM, you might get a manual, but other then that nothing fancy. Your technically only supposed to buy OEM with the purchase of hardware. However, I've bought like 10 copies of OEM software before along with 3.99 mouse from a website.
 
Yeah, I'm just getting the OEM since I am buying hardware from newegg. Haha, 10 copies with a 3.99 mouse that's funny. Thanks for the help guys.
