Windows XP Pro Upgrade

My school just started offering Windows XP Pro Upgrades to students for a low price and I have a few questions. Do I have to have the prior version of Windows installed BEFORE I can upgrade? Or is there any way to install the Upgrade straight to newly built machine?

If I have the same version of Windows 98 on multiple (very) old computers (which I realize is wrong, but they've been that way for years, well before the Geniune Authorization thing, and this is one of main reasons I'd like to buy upgrades to get unique keys), can I still use different Windows XP Pro Upgrades on each? Or does the upgrade make sure the Win98 key is unique somehow?
 
The WinXP Pro upgrade can install a full copy of Windows on a blank hard drive... it will, however, require a valid FULL WINDOWS INSTALL CD-ROM from any prior version of Windows (that's how it works for Microsoft Office anyways, so I think it works that way for Windows too). In a worst-case scenario, you could install the upgrade (of course) on top of an older version of Windows, but I do believe you can install fresh off the upgrade CD as long as you have a full install CD of a prior version of Windows.

For what it's worth, the WinXP Pro upgrade CD won't care if it upgrades the same Win98 multiple times on differant computers, but you realize of course, that is against the User Agreement License (just like installing the same copy of Windows on multiple computers).
 
I doubt a Windows 3.11 CD will do you any good.
Hehe... I have never seen a Windows 3.11 CD before... I thought they were all on floppy!

Okay, let me rephrase any prior full version of windows from this epoch! 😛
