Yes, it does. I recently found this out when I tried to upgrade my laptop.

You cannot upgrade a 32 bit system OS to a 64 bit OS, If not for a million other reasons the Installer will not allow it.
You will have to boot from the DVD and perform a clean reinstallation. Period.
