Windows 2003 Server user account group question

What's the best way to create a user group (ala Administrators, Power Users, etc.) that has all the privileges of Administrators except the ability to add new users/change other users' permissions?

The OS in question is Windows 2003 Server, but advice that works on a similar OS would also be appreciated.
