Win ME/ XP Help

Ok i'm trying to upgrade to XP on my freaken stupid dell system... atfirst I tried formatting.. but the computer wouldnt go for.. tried format c: nope bad file.. anyhow finally I think my ME boot disk formated for me... so now I got a buggy version of ME on the computer... now when I try to install XP... it gives me this error...

$win_nt$.~bt\c_1252.nls error code 14


anyone got any opinions?
