Win 2000 "Unknown Device" in Device Manager "HELP"

In device manager, in "other devices" i've got a exclamation mark by a device that I have no idea what it is. When I remove it and reboot it always finds it. Heres what it shows in device manager under "other devices" "vid_04E6PID_80002000" anybody no what this is? all my devices have drivers installed. I am duel booting with win 98 se and it does not show this in device manager. Thanks for the help in advance!
 
Mobo is a Asus P5A, no onboard devices, Diamond stealth S540 video,
Sound Blaster Live value, D-link network card, Maxtor ata 100 controller card. All these cards show up in device manager.All PCI.
Win 2000 not shutting down properly, I have to manually shut it down, thought that the device might be causing the problem.
