i am planing to
a)uninstall all my hardware
b)uninstall all my software, back up software thats not on disc
c)buy the millenium promo upgrade
d) install a new motherboard
e) reinstall all of my software and hardware

all in an effort to ger arround the fact that I have OEM windows and the manufacturer of my PC "tattooed" it so that it wouldn't boot up with any other motherboard.

so,will it work? can i boot up another motherboard if i upgrade?

How do you know it won't boot up on another motherboard? And if you're upgrading the operating system, then there shouldn't be a need to uninstall everything, Windoze should spot the changes and ask for drivers.
Everybody I know whose built a new computer, and put their old hard disk in it, hasn't had too much trouble installing new drivers, etc. Just make backups before attempting the upgrade. :)

i wanted to clear everything out so as to give winME most stable environment possible.
