If your OS is OEM, you'd probably have to pay to re-register it for the new mobo. But sometimes people slip thru. Otherwise there shouldn't be much problem. I think Dell has learned their lesson on proprietary power connectors.
I have my XP Pro serial on the side of the case. I guess when I get home after work I'll check to make sure all the power connecters are good. I don't think it will be a problem though, it's a regular ATX Intel board.
New mobo is the same as new computer as far as M$ is concerned. OEM OS is licensed only for computer with which it was bundled. So don't be surprised if required to buy a new license. Another option is to buy a retail version which has none of the OEM provisos. I think I've seen legit XP Pro for as low as $85. on the web.
