Which of my two mainboards/cpus should I keep?

I was just asked by a friend to build him an inexpensive computer. I have some parts here so I figured I would use them up, but I don't know which I should give and which I should keep or if there is any performance difference between them.

1)SOYO SY-P4I865PE Plus DRAGON 2 V1.0 with
a. Celeron-D 320
b. 512MB PC2700, etc.
c. Some AGP video card I have around the house
d. Probably a used 17" CRT

2)Epox EP-8K5A2+ with VIA's KT333 chipset and
a. No CPU yet, suggestions welcomed
b. 512MB PC2700, etc.
c. Same AGP video card I have around the house
d. Probably a used 17" CRT

His use is basically non-gaming and for creating invoices, proposals or tracking clients at his drapery workshop.

Whichever one he gets I'll use the other for learning to set up MS or linux servers in my workshop.

The problem with doing that is I would need to buy better memory for it. But probably more importantly is the Soyo is not a very good overclocker. I won't invest any more money into another mainboard for that cpu nor any more pc equipment except perhaps a future A64.

Edit: I guess I need to get another cpu for the Epox but which one is a guess considering it can only take a fsb of 166. I wonder if the epox is worth the expense of a cpu. I suppose so since I have all this extra pc2700.

Edit2: I've been thinking, I can put my OCZ memory into the Soyo board and use 2x512MB of PC2700 in my rig. I wonder if I could OC the Soyo then? I know the Deleron can do it.

Just run a memory divider. The Soyo would most likely OC a little atleast. I wouldn't touch another Via 333 chipset with a 10 ft pole personally.
