Which is better ABIT AI7 or ASUS P4P800SE?

I'm building to use a Celeron D 320 E0 stepping I want to overclock to 3.6GHz. Application will be "everything" except gaming.

Abit has the advantage of 1394.
Asus: nada

Audio:
Abit: Realtek ALC658 6-channel
Asus: ADI AD1985 6-channel

Why the expensive choices?
I want stability and compatibility.
Tired of ECS and other junk.
