And Now i have another option! The 7770 here is the same price as GTX 560 !! Should I go for the GTX 560 instead??

Huh, you can get a GTX 560 for the same price and you went with the slower HD7770 instead?

About GTA 4 needing more than 4GB, I do find it strange because it's not a 64-bit game..

How it performs 20% faster with 12GB over 6GB (using same memory speed/timings)..

I think it was under Vista which has horrible memory management, being so memory-hungry, but Win7 isn't "vastly" better, and for 12GB to show a massive 20% improvement over even a whopping 6GB is strange, even if the game is poorly optimized.

Imagine the hitches in the game with 6GB, if it's actually 20% slower overall!!

I still havent bought it :(.. Still in 2 minds. Is the GTX 560 is worth $5 more ( I'm on a really tight Budget) ?? And also will my CPU bottleneck The GPU?

You wrote "Im planning to upgrade to an i5 3450" so I gave advice based on that. I would just pay the extra $5 for a card that is 15% faster. Yes, for now your CPU may bottleneck the card, but if you're getting an i5-3450 then the bottleneck will go away. And it's only $5! If you have the budget to afford CPU and GPUs of this price range, I think you can pay the extra $5 to get a significantly faster GTX 560 instead of HD 7770.
