Which CPU ?

As you can tell from my system rig I am running a Duron 800 @ 1000 133*7.5 Would it be worth it to upgrade to a 1.4 tbird(266) or 1.2 Palamino?

Personally, I'd go T-bird. There's not much of a performance increase on the Palomino at the same clock speed, let alone .2ghz less.

Would my generic HSF from my Duron and 300w PSU be sufficinet, or would I need to upgrade those as well if I got 1.4 T-bird?

Your PS should be good enough, but if it's a generic model you might have issues.
A generic or retail boxed fan from a Duron 800MHz is definitely not sufficient to adequately cool a T-Bird at 800MHz.

Its a 300w PSU AMD Approved.

So what is a good HSF for under $50?

My temps with Duron at 1.85v get up 64 cpu/38 system after running 3D Mark 2001 for about 30 mins.

I was thinking 1.4 T-bird should be able to hit ~1.6 plus bigger L2 cache.....

I don't think that upgrade is worth the cost, however I will suggest the Global Win FOP32-1 found here for a good price and will work with the Athlon 1.4 GHz.
