Should I plan to upgrade my processor to an AMD Athlon XP 2000+ CPU or Gainwald GF4 Ti4200????

 
I would say go for the video card as your processor is strong enough to run anything out there. The GF4 would also take some stress off the video card too. Go for the video card (IMO).

IMO, I don't think you should bother upgrading for a while. Your CPU is fairly strong, and so is your video card. What are you going to be using your machine for?
 
Since your primary purpose of this machine will be gaming and your card is by today's standards, getting old, I'd suggest getting a better vid card. You'll thank yourself the first time you start a game and everytime there after...
 
I would also get a new vid card, either a GF4 Ti4200 or a Radeon 8500 at the least if you are big into games.
Keep the 1.4Athlon cause it's fast enough for a long while.
