DIZAMN!!!! I love me some Kroger, and hate me some Harris Teeter (overpriced to the max).

Grocery store chain Kroger said Tuesday it is buying Harris Teeter Supermarkets in a $2.5 billion deal, which will increase by three the number of states it operates in to 34.

Kroger will pay $49.38 each for Harris Teeter shares, 2% above their Monday close and 33.7% higher than the Jan. 18. closing price, when the company disclosed it was evaluating strategic alternative. After the deal closes, Harris Teeter will continue to operate its stores as a subsidiary of Kroger.

Shares of Kroger jumped 2.7% to $37.16 in morning trading. Harris Teeter shares were up 1.6% to $49.27.

Matthews, N.C.-based Harris Teeter has 212 stores in what Kroger called attractive, high-growth markets in the Southeast and Mid-Atlantic and about $4.5 billion in revenue for fiscal 2012.

"This is a financially and strategically compelling transaction and a unique opportunity for our shareholders and associates," Kroger Chairman and CEO David Dillon said in a statement.

Kroger says it expects the deal to result in cost savings of $40 million to $50 million over the next three to four years. It will finance the deal with debt and plans to assume Harris Teeter's outstanding debt of about $100 million.

The terms of the agreement were approved by both boards of directors.

Harris Teeter CEO Thomas Dickson called Kroger "one of the best food retailers in the U.S." and said the company's plans for growth will continue after the merger.

Together, the companies will operate 2,631 supermarkets and employ over 368,300 associates across 34 states and in Washington, D.C. Harris Teeter operates 212 stores in eight southeastern and mid-Atlantic states and Washington DC, along with a pair of distribution centers and a dairy facility in North Carolina.

Kroger operates 2,419 stores in 31 states. In addition to its flagship brand of supermarkets, it also owns Ralphs, Fry's and Food 4 Less.

hmm, I always thought the opposite. Kroger was always ghetto to me (similar to Lucky out here) and the Teeter was always nice and clean with a good selection for a super market.

This blows.

Around here in NC, this is how I rank it (ranked top to bottom):

Harris Teeter
Lowes
Kroger
Food Lion

Kroger has really good (IMHO) produce and fresh meat. That's mostly what we buy at the grocery store. Everything else is pretty much a (who gives a shit, give me the cheapest price) as far as I'm concerned between stores, so pricing wins.

And HT is by far the most expensive

publix is really good though.


Publix is more expensive, but overall nicer stores and I feel nicer produce as well.


Kroger's seem to vary quite a bit. Some are nice, others get placed in less nice area and inherently are less pleasant to visit. Decent products though.

Kroger isn't too shabby. Some of their stuff is pretty expensive, as you'd probably expect, but I've also gotten some great deals there. You definitely need to have their card and ensure that you're using your (digital) coupons to maximize your savings. Their phone app is pretty good too... well, when it isn't giving me trouble. :p

Yup, their digital app and coupons are really good. However, I upgraded to iOS 7 Beta 3 yesterday and it's the only app that crashes and fails to work. FML! :(

Had my first job at Kroger, still shop there weekly. They're the only store that stocks the tea I like!

I like my local Harry Tittys. Decent beer selection. The Krogers back in Texas near me where really expensive.

That's funny, Kroger has been closing several Ralph's (West Coast Kroger) in my area for no apparent reason.

If Big Lots merged with Piggly Wiggly and Harris Teeter, would they become Big Wiggly Teeters?

I hate Kroger but they're much more convenient locality-wise than any other store for me. The deli always takes a minimum of 15 minutes, steaks are inferior to...anything but Walmart, and it takes me forever to find what I need. And to top it all off, I can't use self-checkout for more than 10 items or so because it invariably won't scan or sense the weight of SOMETHING. As for their gas, it's fine and cheap enough but there's always a freaking line and I'm way too impatient to sit in line for gas when there are a dozen more stations within a mile.

Not possible in any version of America that includes Wegmans.

Meh, Wegmans is comparable to HEB's Central Markets.

That is what is so great about HEB: it serves many audiences.

Central Market stores for the "I need to overpay and fight crowds to buy my organic produce" market.

HEB Pluses for the "I shop at Wal Mart because on they have aisles wide enough for me to fit between" market.

And then regular HEBs that are just much better Krogers.

I grew up in Raleigh and that's how I see it--though Lowes was hardly there around the time I moved away. There was maybe 1 or 2 in the Triangle that I was aware of.

I once lived way out on 64 near Wake Med and the only market in that shopping area was a Kroger. I probably went there once or twice in over a year's time. Despite it's convenience, I much preferred the Super Teeter near campus because that Kroger, as well as the one or two closer to downtown or West Raleigh, always had old and gross looking meat and produce in my mind.

Too bad Berkeley Bowl beats anything, ever. ....and also too bad there are only 2 of them in existence. :(

The most amazing produce in terms of selection and quality, at bum prices.

Kroger is expensive and their goods are inferior to other grocery chains. Publix is superior to Kroger is just about every category. Publix might have the second best customer service after Trader Joe's. If you think Kroger is good, you don't have Publix nearby.
