What should I upgrade first? Is this a good upgrade?

This is in the order I plan to upgrade, let me know if I should do something different or skip the upgrade, it is listed as My system/Planned Upgrade

Celeron 300A/464A / Thunderbird 1Ghz (hoping for 1.3-1.5Ghz OC'd)
Abit BX6r2 / MSI Turbo (IWill 266?)
128MB Mits. PC100 / 256MB Crucial CAS2 (is there a better memory to go with?)
Asus AGP-V3400TNT / GeForce MX (maybe a GTS, currently DSL seems the limit)
Monster Sound MX300 / SB Live (I only plan on running two speaker sound, is this

Sounds real nice, but as a matter of preference I say go with the Iwill mobo. And I would also say skip the sound card upgrade, for only two speakers it'd be best to put the money somewhere else. Personally I would say get a Radeon, right now they are really cheap and have ALOT more power then the MX, and in some cases the GTS. Tbirds don't really use as much power as some say, so the 300w and the UPS will be fine. You didn't write down anything for the hard drive and I'm concerned that you'll run that blazing system on some 5400 RPM drive, try to go with at least an ATA66 7200 drive. If possible, try and get a small SCSI drive for your boot drive. It will really go a long way, but you sound like you've got a longer list of priorities. All in all you sound like you're all set.
