How did he set up the corporation? Do you have access to that? It sounds like he sent you an operating agreement. Definitely need a business attorney for that but a general attorney will do in a pinch.
I'm curious why you guys went full blown corp. Why not a mutli member/manager LLC taxed as an s-corp? Would have saved you some tax hassles and no need to mess with the other hassles that a crop entails.
no clue, i don't know anything about starting a business or how it's ran, i'm just a tech guy and was looking for a business guy to partner up with.
my wife's friend is actually an attorney in VA and so is her boyfriend, and her boyfriends brother is an attorney in MD (where i live) and in my city, and his focus is corporate and business law, so i think i am going to get in touch with him and have him check it out.
the contract is actually just an "employment agreement" that explains everything and how it's all divided up and what is expected. i actually am finally going to have time this evening to sit down and read the whole thing.
