thinking of getting this to replace my aging S754 A64 3200+...

Also, what is the difference between this and those Core 2 Duo? This CPU that i'm getting is Core 2 Duo as well correct?

If it is, then why can't I find a model number such as EXXX, E4300 etc? It just says Pentium D 820 2.8ghz when I try to do a search for it.

What is the difference between the two? I also saw that the E4300 clocks at 1.8ghz. Out of curiosity, why does this chip that I am eyeing clock faster, even though the E4300 is the later, and supposedly better model ( I think?)

It's not a core 2 duo, and clockspeed isn't everything, per cycle that e4300 can do a lot more calculations then the Pentium D. Basicaly a core 2 duo, like a e4300 at 1.8ghz will rip that Pentium D apart, in both speed and energy usage. The Pentium D uses an old infrastructure and a old micro-architecture, the intel core architecture is the sucessor of the netburst architecture used in pentium D's, and intel core duo has been succeeded by core 2 duo. So no, don't get that chip, get a e4300 or perhaps a e6420.

Look herefor benchmarks between a e6400 and a Pentium D 820. This is showing word pdf maker and avg running at the same time, but you could choose any other benchmark you'd like. An e6400 is a cpu running at 2130mhz, vs the 2800mhz of the Pentium D 820.
