Visual Artifact Problem

I'm having a major problem with my computer where i get visual artifacts and messed up taskbars / system bars out of the blue over time. It happens everytime no matter what, and rebooting only resets the count down until .... well, whatever happens in that pic.

My first reaction was "WTF"

I've eliminated RAM, HD, and heat related problems since.... well, I've got 2 sticks of RAM, what are the chances of both of being corrupt? HD's, I've got two, they seem to be working fine. And heat related? My CPU is at 41C.

Any advice is welcome. I'm planning on formatting / reinstalling XP later in the evening and it's my last resort.
If that doesn't work, i'm planning on returning My Mobo, RAM, and Hard Drives for exchange.
 
No overclocking, Fan Spinning properly...
