Using a DDR2 1066/ 1200 on a P35 Chipset but older Processor?

I am thinking of getting GIGABYTE GA-P35-DS3L LGA 775 Intel P35. I have a Pentium D 930 and thinking of getting DDR2 1066 4gb Memory. Can DDR2 1066 memory work with this Processor. I know the Motherboard supports the DDR2 1066 Memory. As the Processor is a 800MHZ core.. can a DDR2 1066 Memory or even the PC29200 works then? Please advise. Any benefits derived?

You will be able to run the RAM at 1066 even with the old CPU, but I'd get cheaper RAM and upgrade the CPU as well to a Pentium Dual Core, E2180 or E2200. Fast RAM gets you almost no measurable benefit, you just need RAM that can match your FSB if you're overlocking, everything else is wasted money basically.
 
Excuse my ignorance on this issue, been out of the PC building for a while now, but do all P35 boards that support DDR3 compatible with DDR2 Memory?

I normally upgrade every few years, and I'm thinking about updating to an Intel build and was wondering if it was wise to invest on a P35 board, as opposed to DDR2 board.

No, only two P35 boards support both DDR2 and DDR3: the Gigabyte EP35C-DS3R and the Asus P5KC.
