Upgrading soon, how good is this Newegg build?

I am upgrading an older core duo that I bought off ebay for $200. That computer has no options for overclocking and stock is 2.16GHz if I remember. The upgrade options are very limited on this cheap OEM computer. I will just give that to my mom, it's fast enough for her and ill build myself a new computer with a $400 budget limit. Let me know what other choices of hardware below is better while staying in my budget.

1. I could get the e5300 cpu, do those OC any better than e5200s which do 3.33GHz average? My other option is go AMD, can any of their CPUs match the e5200 overclocked?

2. I could get a more expensive PSU if 480w isn't enough, but hope it's enough.

3. How's that motherboard? I read the reviews and they say it's a great budget overclocking mobo. I don't need insane volts. What different FSB are supported?

4. How is that radeon hd4650? Is it worth upgrading my hd2600xt for that? How much performance increase will I get?

5. Will this memory be able to overclock much above 200fsb which is stock for my cpu? That memory is rated 800MHz(200MHz quad pumped) and my cpu stock is 800MHz(200MHz quad pumped) will I have to run that ram on a 2/3 divider when hitting 300-333fsb?(1200-1333 quad pumped) Is there any ram that can do 1:1 at the insane fsb of 333?

6. Is stock cooling enough if I increase the volts a maximum of 5% from stock(1.3v?) or what heatsink/fan should I buy?

7. Any other ideas or alternates? Any other hardware ill need or is the below enough for a complete system?

You may be able to overclock the e5300 a tad higher than the e5200, because a) multiplier is higher and b) R0 chips in general overclock better than M0 - e5200 you could end up with either, e5300 are all R0 to the best of my knowledge.

Stock cooler is pretty crappy on e5xxx, but good enough for a slight overclock. They're pretty annoying though.

Personally I'd go AMD. I've always gone with Intel, but for a budget system AMD gets a nod from me.

In my experience, the R0 E5200 don't o/c that much better than the M0's. The last R0 I played with with expensive megahalem air-cooling could only reach 3.8 on reasonable voltages. Linpack stable 4.0 was only reachable at 1.5 and I don't feel comfortable with that voltage 24/7. The previous M0 I had reached about the same clocks at similar voltages. Also if the E5200 is cheaper than the E5300, then get that instead, they both o/c close to the same (providing you're able to hand-select a R0 stepping). I've yet to see a E5200 or E5300 get limited by their multipliers when reaching max o/c. 333FSB(1333) X 12.5 already gives you >4.125
