Upgrading my system and I have some questions

I have exactly $280 to spend on a new mobo, cpu, and memory. I'm buying all the stuff from newegg and I'm prett sure on just about everything but I have a few questions. Heres what I have picked out so far:

Shuttle an35n ultra - $65

This leaves me with $22 for cooling for my cpu. There are so many different hsf's at newegg that I don't have a clue whats good and whats not. What is my best bet for around $20 if I only plan on ocing a little bit and don't care that much about noise? I've never had to buy aftermarket cooling before so I'm a little confused about whether or not the hsf I buy will come with the paste or the thermal pad I need.

Also, is this a good choice for ram or is there something better for this price?

If you are going to overclock that Mobile 2400, you may want to look at the Zalman and Thermalright higher-end heatsinks.

I don't have the money so I really need to stay in the $20-30 range. Also, I'm not looking for a huge oc. I just wanna be over 2 ghz

You could also get a XP2500+ Barton for $77 @ Newegg. With the 333 Mhz FSB (compared to the 266 FSB on the XP Mobile) and you RAM, it should be faster.

I 've been using the Speeze WhisperRock (Aluminum) or FalconRock (Copper on Aluminim) coolers on my XPs. If you use Arctic Silver paste instead of the stuff that comes on them, you should be idling about 40C or below which is very good. They are $13-14. Check the customer comments on them.

I might consider that. The power supply i have right now is a 300 watt generic that has been fine for a year now running my xp2000, 2 hard drives, 2 optical drives, a wireless card, and a radeon 9600xt. Will this still be enough power for my new system if I take out one hard drive. Keep in mind that the 9600xt using very little power.

Built a PC for a friend last night using the AN35N Ultra. I was amazed at how well it went. Having a problem getting the 2500+ I put in it up to 3200+ speeds, but I think it's probably the RAM he bought to put in it. He got a stick of 512MB KVR at 3200, which is what I use in mine at it runs at 3200+ just fine. Otherwise, his is working great so I give ya a thumbs up on the mobo.

I haven't really gotten any good suggestions for a $20-30 hsf. Anyone have any good ideas?
