Upgrading computer.. This sound good?

I'm going from Athlon 64 2800 with 1GB of RAM.

And I plan on buying:
AMD Phenom II X4 920 @ 2.8GHZ
4GB of PC2 8500 RAM.
And an ASRock A780GXE MOBO.

Does this all sound pretty good? I am on a budget.. Would like to keep it close to $300.

Also.. I am not good at picking out motherboards. I am sure there is a much better mobo for the price range I am in.. please help me in that area if you can.
 
Yes, as fourdegrees11 pointed out, you should be better getting a mobo with a SB750, since is much better at overclocking, that is, if you overclock.
 
Wow thanks guys. $10 off of original with a better mobo. I don't need built in video.. but without it, I will have to wait to save up for videocard till I can run this setup cause I only have an AGP card.... I could always buy a cheap pci-e card off the used items board.
 
Hmmm.. Maybe. Depends on money. If the money is there, I will go for it. I was gonna upgrade my computer, but if things work out like I want, I might just build a whole new system. Give my old computer to a family member.

That way I can just start new with everything. New case+psu... harddrive.. dvd drive, etc.

I dunno yet though. I've never done any overclocking.. always been kind of scared. Are there true advantages to overclocking? (<- That I would actually notice while using my computer.. not a benchmark test or something)

You could always just get a cheap budget card until you can afford something good.

This 4670 is much better than your old 9700 and won't break the bank at $50 after rebate + shipping.

Or, for about $10 more (after rebate and free shipping in this case) you could get this 4830 ($73AR).
