I'm using exact same setup, vnf3-250 with 2800+ E6, currently running at 300HTT and 2.4Ghz, 1.4v stock. I don't think I've hit the CPU limit yet the FSB just can't go higher than 300HTT for this board so that's the limit. I think 2800+ is capable of 2.5-2.6 OC. 400Mhz is pretty good start but definiatly not the CPU limit. Check to see if you can lower RAM divider more and push that HTT higher.

Chk out my sig for detailed spec. Oh, if you have ASilver compound try some on the CPU, I'm on stock paste but saw a few people using AS with improvements on result.

yeah, if you see in my sig, and my previous post, ive already reached 330fsb, it did post, but wouldnt boot into windows. the most stable ive gotten so far is 312fsb. but i backed it off 10 more mhz because games kept crashing out to windows.

im now 100% stable at 301 fsb. prime95, games, everything. running great. 800mhz overclock. woot. im sure i could go higher with better quality ram, an older bios so i could adjust vcore, and a better hsf setup. but for now.. i cant complain, 800 friggin mhz overclock on stock vcore, stock hsf. cant ask for more. :)

so what would my sempron 64 2800+ @ 2.4 be equivalent to a64 wise? a 3500+?

The 256k l2 cache you're missing versus a Newcastle core is worth about 100-200 mhz of performance, so you're running at about the same speed as a 2.2-2.3 ghz Newcastle. The dual-channel memory support you're missing from s939 is worth maybe another 100-200 mhz of performance, so on average your chip is as fast as a 2.1 ghz Venice.

congrads, looks like we both have identical rigs now. I personally ran a few benches on my 2.8 sempy seems to be faster than 2.2 Venice on calculations based stuff, but lags in games. The biggest problem is the cache I think for gamez. I'm a light gamer so no biggie.
