Unable to Shutdown PC

Rec'd a gift of this NEC Powermate CT 815 with win2000 Pro o/s. It was previously used as a FILESERVER for a Dr.'s office. Since it was full of patients medical records; it was given with the understanding I would remove those files. Okay no problem so far. I removed all the files and App's that were not part of the original o/s install. Now comes the shut down. Start>Shutdown. Goes through the motions and then starts up again ! Recheck to make sure it wasn't set to 'restart' in the shutdown window choice. Nope... it's in shutdown. Try again & again & again. It just keeps restarting. I went to the NEC site and found the PDF file for that unit. Checked the Bios settings. Tried a few changes; still restarts. It's a Gigabyte m/b; a GA-60MM7E Ver:1.03 the Bios = 60MM7E V:2.0L & AMI Bios setup utility V:2.01a I can't find an exact picture of that m/b version anywhere on line. Gigabyte site has nothing about it in their archives, not that version anyway. I find some that are close but differ in jumper and strapping options. I suspect there's something very simple that's keeping it from being shutdown and since it was a fileserver; it probably wasn't meant to be shutdown via software. I just pull the plug now, since there's no on/off switch on the power supply.
I sure would appreciate any help.

Did you try going under Control Panel --> Power Options --> Enable Advanced Power Management (APM)?

Nope; not in Control Panel; but I did in the bios 'enable' APM. I'll have a look at Control Panel. Thanks & I'll report back.

Well; I went into Control Panel>Power Options and the settings are: Power Schemes = Home/Office Desk and Advanced = when I press power btn > "Power Off" UPS not in use.
But you gave me an idea. I then went to Control Panel > System > System Properties > Advanced > Startup & Recovery and under System Failure removed the Check from the box marked "automatically reboot". Because of these changes I was required to reboot. Which I did and then the PC came up BSOD with the following message "STOP" MODE_EXCEPTION_NOT_HANDLED
Address 8042CEC3 base at 80400000, date stamp 3ad7ad60 - ntoskrnl.exe
Beginning dump of physical memory ... blah,blah,blah etc. ad nauseum !!
So pulled the plug and repowered up. System came up and when it was loaded again I tried the Shutdown. Went thru the same as before. Shutdown> restarted on it's own and went BSOD and same error message. Now if I can get back to Control Panel I'll restore the checkmark and see what happens !!

I put the check mark back and it boots up again without any BSOD. I think that's working in the right direction. It may be a combination of that Startup and Recovery app in the OS; and maybe a Bios or Jumper option on the motherboard. Of course the original problem still exists. (auto restart on Shutdown !!)

used to ahve a problem with win2k also, except it got stuck and didnt reboot. I did a windows update, and all was well.

I know theres lots of shutdown patches for ME and 98 and stuff, dont know about w2k, you could check it out though.

Maybe you delete a file you werent supposed to? try reinstalling?

Finally answered... I contacted NEC; they say it's a function of the Win 2K OS. It's a server version; and just maybe; if I want to spend time and money talking with Microsoft; I might learn the secrets of where they hide the "always on" in the registry. They (NEC) suggest reloading with another OS ! Thanks for all the suggestions and help. I'll probably just do an upgrade to XP.
