Uhh.. what's a USB decoder box?

I recently bought these headphones online: http://www.ecoboss.com/Page2.html

The headphones work just fine but it also comes with the little "USB decoder box" that you see in the picture. I have no idea what it's supposed to do. The guide that came with it is useless. Any help?

It's an external sound card basically. Plug it into your USB port, then plug your headphones into it. Or, if you already have a sound card, then it's not necessary to use it at all.

Well I don't use a sound card because I have Vista, which disables hardware acceleration making sound cards kinda useless. Is this box similarly useless because of Vista? I also noticed that the box uses AC97 while my comp uses HD audio. Should I still use the box? Do I still get surround sound without it? Thanks for your help.
