To upgrade or not to upgrade?

Well, black friday is coming, and so is christmas. I figured I could make myself a present and upgrade my PC a little. Only thing is, I'm not sure if I should be upgrading at all! That is why I'd like to hear your opinions.
Basically, my main goal is to get my current rig to "last" me for at least another year. I know it's very hard to predict these things, but I use my PC for very specific things:

1)Gaming at no more than 1280x1024 with high to very high settings. (I don't really care for higher res) Games like Fallout3, Crysis, CoD4, etc.

2)Browsing the net, slowly learning how to make websites. 😉

With memory prices falling like crazy, I was going to get myself 4gb of 1066 ram, which will allow me to squeeze every last bit of OC potential out of my CPU. I'm sure I can get to at least 3.2GHz, if not a lot more. It is true that I could probably OC higher with my current ram, but I don't want to play with timings - I'd rather buy better ram.

When it comes to CPU and Video Card, it doesn't look like I'll need better ones any time soon, does it? (given what I use my PC for off course)

So that leaves me only with the memory question... Would you say the memory upgrade and higher CPU OC would be worth it for me? Should I even bother? What would you do if you were in my shoes?
 
You won't see much difference between 3.2 and the 2.8 you run at now.

I "upgraded" from e6400 @ 3GHz to e8400 @ 3.6GHz and in most of my stuff couldn't tell I had changed anything. I'm sitting on this chip until at least next year when Westmere launches (low power optimized Nehalem refresh) and will move to quad-core at that point.
 
Thanx guys. I guess there is simply no reason for me to upgrade. I have yet to find a single game that I cant play at max settings at my monitor's native res. The black friday ad for the 1066 G.Skill ram really got to me. 😉 But really, it looks like I just don't need it, especially since the performance gain after OC in negligible acording to Denithor...
