This sucks...no sound...beep at boot up..help me help me

Bought Microsoft Combat Flight Simulator 2. Installed fine. Try to play combat mission, sound quits and is replaced with a high-pitched constant tone from speakers. Escape from game, then get blue FATAL EXCEPTION screen, with message "Fatal Exception OE @ 0028😀80D440B in VXD CWCSPUD(01)0002040B".
Can't find anything specific on Microsoft site for this message. While reading support pages for the game, got impression drivers should be latest. I've already got the latest drivers for video card, and I couldn't really tell what version my Fortissimo II drivers are, so I figured wth, I'll just download latest version and install it, that way I'll know I have latest. Now disaster starts.
I download driver's from Hercule's site, which right now is pretty lame on the support side of things. Go to install update, and it won't allow me to install it. I've uninstalled/re-installed drivers several times (never install succesfully), have taken sound card out of computer, re-installed in different slot. At same time this happens, I started getting extra little beep from mb at boot, which means it could be several things with mb, one of which could be failed device. I get beep with or without soundcard installed.
I get a message when I try to install from control panel>system>sound controller that says "can't install PCI device. Error Code: 197 (or 194 or 149, something like that).
Any i-de-eers?

pull everything out off the mobo. make sure everyting is kosher... nothing burnt. they just put in the essentials... cpu, hsf, ram, video card, hd, etc. see if it still beeps or boots. if it's cool... then add stuff one at a time, til something beeps. then u know whats culprit. if it beeps with just the bare essentials... it could be a mobo problem.
