What's the best software/online apps that serve this purpose for designer->client team work. We tried Google Docs but sadly you can't add notes to JPG images (which are 99% of our discussion files), and you can't Make a table for all files uploaded that includes checkboxes for "Reviewed, Approved etc"

We tried ProtoShare, but its way too slow on uploading and can't upload full directories (this is a big project with a ton of folders).

Any other ones that come to mind?

Features we need:

1) Notes to JPGs
2) Version Tracking (Revised etc)
3) Table-like structure for all files with checkboxes "Submitted, Reviewed, Approved etc."
4) Good uploading

I'm not 100% sure what you mean with 1) above, but Sharepoint would fulfill all of the other requirements. For number 1, you can have comments columns associated with the JPG that you can edit or something like that. If your company has a Windows server, you can probably get away with using the free version of Sharepoint (Windows Sharepoint Services 3.0 or Sharepoint Foundation for the latest). Otherwise, many companies offer cheap hosted Sharepoint solutions.
