Does someone know why it won't boot?

Specs:

Intel D865GLC
P4 2.6c
PC3200 ddr400 Mushkin blue
Fortron 300W

Symptoms:

-- when i switch the power on from the PS, the cpu fan kicks in, the green light on the MB appears but nothing else.
-- If i pressed and hold the power button from the case, i can turn on and off the cpu fan but still no beeping or sign of booting.
I don't have anything else than mobo, cpu, cpu cooler, ram connected. no hd, cdrom, floppy or other devices. At first, i want to use the onboard video and sound.

Any idea what can prevent it from booting? Could it be the CPU that is fried? how would i find out?
thanks!

Take the MB out of the case and see if it will boot with just the bare min. like video card and ram. If it does then you have a grounding problem. I assume you tried clearing the CMOS ?

Thanks Doomer -- I did clear the cmos for like 20 minutes several times but to no avail. Ii tried to remove the MB from the cases but same result.
What's interesting is that if i push and hold the power button for like 5s, it first power up the MB and turn on the cpu cooler but then turn it off.
If i press it once and release it, it turn on and leave it on but to turn it off i have to press and hold the on/off button until it turn off the power.
In any case, still no sign of the system booting, beeping or else....
Any idea? Thanks for your time.

you have everthing unplugged right? like keyboard, mouse etc. check for any metal touching the case. make sure there's no path to ground from the mobo. if that doesn't fix it, then it could be either ram, cpu, or mobo.
