OK, we need to know the following to help you:

- What CPU do have?
* Make?
* Original Speed?
* Overclocked Speed?
* Multiplier Value (If AMD)
- What MotherBoard do you have?
*What PCI/AGP Divider are you using?
- What Video Card do you have?
* Is it Overclocked?

Don't worry if you don't know all the answers, I'll try my best to help you out, but I expect the AGP bus clock is out of spec and your GFX card can't handle it.

But here it is just in case

CPU: Pentium 4 2.2Ghz/400FSB Northwood(100x22) @ 2.42Ghz/440FSB (110x22) - (Voltage at 1.525v from 1.5v "default")
Mobo: Abit TH7II-RAID mobo
Video Card: VisionTek Xtacy 6964 Geforce 3 Ti-500 64MB DDR (retail)

hope that helps. =)

Well, you AGP is not that far out of spec, shouldn't be a problem.

What power supply have you got?
Have you tried reseating the GFX card?
Does it run 100% if you take it back down to the the deafult speed?
Have you O/C'd the GFX card?

Bump the vcore a notch up to 1.55v and see if that helps....I agree I think the agp/pci is not that far out of spec and this seems more like a common restart issue and not related to pci devices...If it was pci devices they would have errored out into windows but booted. If it was AGp is likley would have booted but screen may have been garbled....
