System Freezes

Hi,

I'm new to this board and I need some help. I have a home built system with specs listed below. I've had system for over a year and it just started freezing in the last two weeks. It freezes when I play a game, it freezes when I try to copy files from one partition to another and It freezes when copying files to my burner. At times it seems to randomly freeze. Here is what I've done so far with NO luck. I've taken all the cards out except the nessasary hardware<video, HD and CDrom>. System still freezes. I put the HD and Video card into another system it works no problem. I have two sticks of RAM I tried each stick system still freezes. I pulled out my PSU<450w> and put in a PSU from my old system<300w> system still freezes. I tried reinstalling WinXP....system still freezes. Put in another HD...you guessed it system still freezes. Put in another video card...and yeap system still freezes. I've done just about everything I know to do...oh yea I cleared the BIOS system still freezes, I flashed the BIOS system still freezes. Almost forgot to mention that I have to underclock my CPU in order to get the system to fully boot and somewhat work<still freezes from ALL of the above>. WinXP wont load...no splash screen at all. Is it the CPU? MOBO? RAM?....or something else?

Yea.... I made a mistake. It should be
2 sticks
1 kingston 128 266MHZ
1 Crucial 256 266MHZ
I'm sure they are both PC2100
 
I'm thinking Motherboard (or processor), I'm just not sure. I'll call MSI and see if I can get a RMA for it.
