Does it matter which way the clip on the HSF is facing?

ie It could be pointing up to the PSU or down to the GPU.

The locking clip or lever be facing toward the GPU or PCI Slots

Yikes. Don't think I did that, but it hasn't fallen onto my GPU yet after moving it a hundred times. All I remember is that the two clips on my S939 are latched on in a vertical orientation Hope it stays that way....

When I set my HSF on my CPU, I usually mount it outside of my case.

When I do that, the locking latch is always facing outward.

For those cases w/o mobo trays, I latch it also outwards. A matter of habit too.

It'll attach either way, but put it in the easiest position to attatch\remove in your case.
