You can do a fresh install on an empty hard drive with the full version. If you have the upgrade, you have to have Win2k or Win98/ME installed first, then you can upgrade.

If it's anything like the previous upgrade discs then you only need the disc and not an installation. When installing it asks you to enter the OS disc you are upgrading from to confirm.
If you don't mind swapping discs, then get the upgrade. But IF you were to lose an OS disc, you wouldn't be able to install XP. Me, I'd spend the extra 50.
you can do a fresh install w/ the upgrade version. After format when it goes to install xp then it will say please verify, then you just put in the full version of a previous windows version and it checks the cd then does a full install.
Go with the Full Install Pro Version. It is worth the difference for the hassle you go through if your old OS disks for 98, etc. become scratched or lost.
If you are going to use the machine on a network with a domain or need/want to offer remote assistance, you cannot do that with the HOME edition of XP, only the PRO version.
